These Risk Disclosures are provided by Norhart Pro, Inc. ("Norhart Pro") and form part of our Terms of Service. By using the Norhart Pro Platform, you confirm that you have read and understood these disclosures. This document does not constitute financial advice. If you are uncertain whether the Platform is appropriate for your circumstances, please consult a qualified and independent financial adviser before investing.
1. General Investment Risk
All investment and trading activity involves risk. The value of financial instruments can go down as well as up. There is no guarantee that you will achieve any particular rate of return or preserve your invested capital. You should not invest funds that you cannot afford to lose. Norhart Pro does not provide personalised investment advice. Any information provided on the Platform, including cycle yield targets, strategy descriptions, and market data, is for informational purposes only and does not constitute a recommendation to buy, sell, or hold any financial instrument.
2. Market Risk
Market risk is the risk that the value of an investment will decrease due to movements in market prices. Factors that can affect market prices include:
- Macroeconomic conditions, interest rate changes, and inflation;
- Geopolitical events, wars, sanctions, and political instability;
- Changes in supply and demand dynamics;
- Corporate earnings announcements, regulatory decisions, or other news events;
- Investor sentiment and speculative activity.
Markets can move rapidly and unpredictably. Losses can occur over very short periods of time, and there is no assurance that any strategy will perform as anticipated during periods of market stress.
3. Digital Asset & Cryptocurrency Risk
Digital assets and cryptocurrencies carry additional and specific risks beyond those associated with traditional financial instruments, including:
- Extreme volatility: Digital asset prices can experience rapid and severe fluctuations, including losses exceeding 80% or more within short periods.
- Regulatory uncertainty: The regulatory environment for digital assets is evolving rapidly and differs significantly by jurisdiction. Regulatory actions could adversely affect the value and utility of digital assets.
- Technology risk: Digital assets depend on underlying blockchain technology, which may contain bugs, vulnerabilities, or be subject to attacks (e.g., 51% attacks, smart contract exploits).
- Irreversibility: Blockchain transactions are generally irreversible. Errors in wallet addresses or transaction parameters may result in permanent loss of funds.
- Market immaturity: Digital asset markets may lack the depth, liquidity, and regulatory oversight of traditional financial markets.
- Loss of private keys: Loss of access credentials or private keys can result in permanent, irrecoverable loss of digital assets.
4. Leverage & Margin Risk
Certain strategies available on the Platform may use leverage or margin. Leveraged trading amplifies both potential gains and potential losses. It is possible to lose more than your initial deposit when using leverage. Margin calls may require you to deposit additional funds at short notice or result in the forced liquidation of your positions at unfavourable prices. You should fully understand the mechanics and risks of leverage before using any leveraged strategy.
5. Liquidity Risk
Liquidity risk is the risk that you may not be able to exit a position at a favourable price, or at all, at a given time. Liquidity can be affected by:
- Low trading volumes in certain markets or instruments;
- Market disruptions, trading halts, or circuit breakers;
- Cycle lock-up periods during which your capital may not be accessible.
Capital deployed into Cycles is locked for the duration of the cycle period. You should not deploy capital that you may require access to during a cycle lock-up period.
6. Counterparty Risk
Norhart Pro relies on third-party exchanges, liquidity providers, custodians, and other counterparties to execute strategies and hold assets. If any such counterparty fails, defaults, becomes insolvent, or is subject to regulatory action, your assets held with or through that counterparty may be affected. Norhart Pro is not liable for the default of any third-party counterparty.
7. Custody Risk
Assets are held with third-party regulated custodians. Custody arrangements vary and may or may not be covered by deposit protection schemes or insurance programmes. You should not assume that your assets are insured or protected in the same way as bank deposits. Details of custody arrangements for specific assets are provided within the Platform. In the event of custodian insolvency, your assets may be subject to claims by third parties and recovery may be delayed or uncertain.
8. Operational Risk
Operational risk includes the risk of loss resulting from failed internal processes, people, systems, or external events. This includes, but is not limited to:
- System outages, technical failures, or software errors that may prevent execution of orders or access to the Platform;
- Errors in trade execution, settlement, or reconciliation;
- Human error in the management of strategies or Platform operations;
- Force majeure events including natural disasters, pandemics, and infrastructure failures.
9. Cybersecurity Risk
The Platform and associated infrastructure are subject to cybersecurity threats including hacking, phishing, malware, and other cyberattacks. While we implement robust security controls, no system is completely secure. A successful attack could result in loss of, or unauthorised access to, your assets or personal data. You are responsible for securing your own devices, credentials, and authentication methods. We will never ask for your password via email or phone.
10. Regulatory & Legal Risk
The financial services and digital asset industries are subject to significant and evolving regulation globally. Changes in laws, regulations, government policy, or enforcement actions could:
- Restrict or prohibit our ability to offer certain products or services;
- Require us to freeze, restrict, or report accounts;
- Result in adverse tax treatment of digital assets or investment returns;
- Affect the value or utility of specific financial instruments.
The availability of the Platform and specific products may vary by jurisdiction. It is your responsibility to ensure your use of the Platform complies with all laws applicable in your jurisdiction.
11. Tax Risk
Trading and investing activities may give rise to tax obligations, including capital gains tax, income tax, and reporting requirements. Tax treatment of digital assets and trading profits varies significantly by jurisdiction and may be subject to change. Norhart Pro does not provide tax advice. You are solely responsible for understanding and complying with your tax obligations. We recommend consulting a qualified tax adviser in your jurisdiction.
12. Conflicts of Interest
Norhart Pro and its affiliates, officers, and employees may hold positions in instruments available through the Platform, may earn fees from strategy performance, or may have other commercial relationships that could create conflicts of interest. We maintain policies and procedures designed to identify, manage, and mitigate conflicts of interest. For more information, please see our Compliance Policy.
13. Performance Data & Projections
Any historical performance data, yield targets, cycle projections, or return estimates displayed on the Platform:
- Are not guarantees of future performance;
- May be based on hypothetical or simulated results that have inherent limitations;
- May not account for fees, taxes, or other costs that would reduce actual returns;
- Were achieved under specific market conditions that may not recur.
The statement "past performance is not indicative of future results" is fundamental to all financial markets and applies fully to all content on our Platform.
14. Suitability & Independent Advice
Before using the Platform, you should carefully consider whether trading and investing in the products offered is appropriate for you in light of your financial situation, investment objectives, risk tolerance, and experience.
